Chapter Constitution and By-Laws


ARTICLE I - NAME


Section 1: The name of this organization will be the Greater Cincinnati and Northern Kentucky Chapter of the American Payroll Association.

ARTICLE II- PURPOSE


Section 1: The purpose of this organization is to provide a forum to exchange information and experiences in the payroll environment for the benefit of its members.

ARTICLE III- MEMBERSHIP


Section 1: Membership defined.
    A. A member shall be a person actively engaged in, or closely related to, payroll function within his/her employer’s organization.
    B. The chapter shall have two types of members;
        i.  Member-also a member of National APA
        ii  Associate Member- not a member of the National APA but a co-worker of a National Member or sponsored by a National Member.

Section 2: Membership is open to any individual from any organization who wishes to participate and contribute in accordance with Article III, Section 3.

Section 3: It is a condition of membership that members are expected to share their knowledge and experiences and to make a positive contribution to the association.

Section 4: New members are required to complete the Membership Application that will be provided. Membership must be obtained by the third consecutive meeting attend.

Section 5: A member may designate an individual from his/her organization to attend meetings in case of his/her absences to maintain voting status in accordance with Article V, Section 1.

Section 6: A membership may be transferred from one individual to another within the same organization.

Article IV- Officers


Section 1: The officers of the Greater Cincinnati and Northern Kentucky Chapter of the American Payroll Association shall be a President, President Elect, Secretary, Treasurer, Chapter Coordinator and Government Liaison Officer.  These officers will make up the Executive Committee. All must be members of the National APA.

Section 2: Duties of the officers shall be as follows:

A. The President shall lead, plan and direct activities of the local American Payroll Association Chapter, conduct and preside over meetings and conferences, and periodically form working committees, which will perform assigned tasks.  The President shall be an ex-officio member of all committees.

B. The President Elect will assist the President in all administration functions, and will fulfill/assume presidential responsibilities in the event of the absence of the President or inability to complete the term of office. The President Elect shall succeed the President.

C. The Secretary shall be responsible for recording resolutions, votes and any other pertinent issues and to permanently safeguard and maintain those records.

D. The Treasurer shall be responsible for the maintaining of records pertaining to revenue and expenditures of the local chapter.

E. The Chapter Coordinator is responsible for relaying chapter events to the National APA office. The Chapter Coordinator is the person listed as the local contact for the Chapter.

F. The Government Liaison Officer shall act as the contact between the Chapter and government tax authorities. The Government Liaison Officer shall act as the contact person between the National APA Office and the Chapter.

G. The Membership Officer will be responsible for increasing new membership, welcoming new members, and coordinating event registration.

H. The Technology Officer will be responsible for our chapter’s website. This includes setting up meeting and event registrations, sending out communication emails, and uploading and updating information on the site.

I. The Social Media Officer will be responsible for our chapter’s Social Media.  This includes several media outlets including the Chapter Website, Facebook, LinkedIn, Twitter, and other ways to promote our Chapter.


Section 3: The term of office shall be one year for President Elect immediately succeeded by a one year term as President. All other officers shall be in office for a term of two years. Elections shall be held in May. The term of office begins June 1st and expires May 31st. Incumbent officers are eligible for re-election.

Section 4: Officers may be removed by a two-thirds majority vote of voting members as defined in Article V. Failure to carry out responsibilities of the respective office warrants removal.

Section 5: In the event of a vacancy in any office, except President, the Executive Committee shall make an interim appointment for the term of the vacant office. In the event of a vacancy in the office of the President, the President Elect shall assume the office, and a new President Elect shall be appointed.

ARTICLE V – VOTING


Section 1: A voting member shall be defined as a member or associate member who regularly participates and contributes to the local chapter by attending at least four of the monthly meetings on an annual basis.

Section 2: On all voting matters, there is to be one vote per voting member.

Section 3: Voting is by simple majority of voting members except noted in Article III, Section 6. A quorum will not be required.

Section 4: The President shall not vote unless it is necessary to break a tie vote.

ARTICLE VI – MEETINGS


Section 1: Meetings shall be held once each month. Meetings may be combined or canceled by a majority vote of the officers.

Section 2: A calendar of topics and locations for meetings will be established and presented to members in advance of each meeting.

Section 3: Meetings of this chapter shall be conducted in accordance with Robert’s Rules of Order except where superseded by other Articles within this constitution.

ARTICLE VII – DUES


Section 1: The committee charged with the nomination of new officers will make recommendations as to the type and amount of dues to be collected from the members.

Section 2: The issue of dues is to be voted on annually by the voting members in attendance at the time of the general election.

ARTICLE VIII – AMENDMENTS


Section 1: The constitution may be amended after presenting the changes at two consecutive meetings by a majority vote of the voting members.
